These Terms of Service ("Terms") govern your access to and use of the services offered by LoadEX Logistics ("LoadEX," "we," "us," or "our"), including our website at theloadex.com and all related dispatch and logistics services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Eligibility

You must be at least 18 years old and legally authorized to operate a commercial motor vehicle or represent a carrier entity in the United States to use our Services. By using the Services, you represent that you meet these requirements and that all information you provide is accurate and complete.

2. Description of Services

LoadEX Logistics provides truck dispatch services, including but not limited to:

  • Load sourcing and booking on behalf of owner-operators and carriers
  • Rate negotiation with freight brokers and shippers
  • Document handling (rate confirmations, bills of lading, proof of delivery)
  • 24/7 driver support and load tracking assistance
  • Invoicing and collections support

LoadEX acts as a dispatcher and is not a freight broker, carrier, or motor carrier. We do not take possession of freight at any time.

3. Service Agreement & Fees

Use of our dispatch services is subject to a separate Dispatch Service Agreement, which outlines specific fee structures, commission rates, and service scope. Key terms include:

  • Dispatch fees are charged as a percentage of the gross load revenue or a flat weekly/monthly rate, as agreed in your service agreement.
  • Fees are due upon load completion or as otherwise specified in your agreement.
  • Failure to pay fees may result in suspension or termination of services.
  • All fees are non-refundable once services have been rendered for a load.

4. Your Responsibilities

By using our Services, you agree to:

  • Maintain valid operating authority (MC/DOT numbers), insurance, and all required licenses throughout the duration of our agreement.
  • Operate your equipment in compliance with all federal, state, and local regulations, including FMCSA rules and hours-of-service requirements.
  • Promptly communicate any issues affecting load pickup, transit, or delivery.
  • Provide accurate information about your equipment, capacity, and availability.
  • Not engage in fraudulent activities or misrepresent yourself to brokers, shippers, or us.
  • Maintain adequate cargo and liability insurance as required by law and your broker agreements.

5. Prohibited Conduct

You may not:

  • Use our Services for any unlawful purpose or in violation of these Terms.
  • Circumvent brokers or shippers introduced through our Services to book loads without us during or after your service agreement.
  • Share login credentials or allow unauthorized parties to access your account.
  • Interfere with or disrupt our platform, servers, or networks.
  • Use automated tools or bots to access our Services without our written consent.

6. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that our Services will be uninterrupted, error-free, or that any specific loads will be available at any given time. Load availability and rates depend on market conditions beyond our control.

7. Limitation of Liability

To the maximum extent permitted by applicable law, LoadEX Logistics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost revenue, lost profits, or loss of data arising out of or related to your use of our Services. Our total liability to you for any claim arising from the Services shall not exceed the total fees paid by you to us in the three (3) months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless LoadEX Logistics, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any law or regulation; or (d) any cargo claims, accidents, or incidents involving your equipment.

9. Termination

Either party may terminate the service relationship with written notice as specified in your Dispatch Service Agreement. We reserve the right to suspend or terminate your access to our Services immediately if you breach these Terms, fail to maintain required credentials, or engage in conduct that harms our business or other clients. Upon termination, all outstanding fees become immediately due.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United States and the state in which LoadEX Logistics is registered, without regard to conflict-of-law principles. Any dispute arising from these Terms or our Services shall first be addressed through good-faith negotiation. If unresolved, disputes shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised date and, where appropriate, via email. Your continued use of our Services after changes take effect constitutes acceptance of the updated Terms.
